Agreement to Terms

Totality Contracting provides general contracting services including but not limited to:

  • Construction consultation and project management

  • Related contracting services as may be offered from time to time

Quotes and Estimates

Request for Quote

When you request a quote or estimate through our website or by contacting us directly, we will provide an estimate based on the information you provide. All quotes and estimates are:

  • Valid for 30 days from the date of issuance unless otherwise specified

  • Subject to site inspection and verification of project details

  • Non-binding until a formal written contract is executed

  • Subject to change based on unforeseen conditions, material cost changes, or scope modifications

No Obligation

Requesting or receiving a quote does not obligate you to engage our services, nor does it obligate us to perform work until a formal contract is signed by both parties.

Contracting Services

Written Contracts

All contracting projects require a separate written contract that will include:

  • Detailed scope of work

  • Project timeline and milestones

  • Payment terms and schedule

  • Warranty information

  • Change order procedures

  • Other project-specific terms and conditions

The written contract will supplement and may modify these Terms as they apply to the specific project.

Project Changes

Any changes to the agreed-upon scope of work must be documented in writing through a change order process. Additional costs or time extensions resulting from changes will be discussed and agreed upon before implementation.

Payment Terms

Payment Methods

We accept the following payment methods:

  • Check

  • Cash

  • Bank transfer/wire transfer

  • Credit/debit cards (subject to processing fees)

  • Financing options (when available and approved)

Payment Schedule

Payment terms will be specified in your project contract and typically include:

  • Initial deposit upon contract signing

  • Progress payments at specified project milestones

  • Final payment upon project completion and your approval

Late Payments

Late payments may be subject to interest charges as specified in your project contract and as permitted by law. We reserve the right to suspend work on projects with overdue payments.

Liens

In accordance with Pennsylvania law, we reserve the right to file a mechanic's lien against your property for unpaid amounts due under the contract.

Warranties and Disclaimers

Workmanship Warranty

We warrant that all work performed will be completed in a professional and workmanlike manner in accordance with industry standards. Specific warranty terms and duration will be detailed in your project contract.

Manufacturer Warranties

Materials and products installed may be covered by manufacturer warranties. We will provide available warranty information, but we are not responsible for manufacturer defects or failures beyond our installation warranty.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN YOUR PROJECT CONTRACT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Totality Contracting maintains appropriate liability insurance and workers' compensation coverage. We are licensed to perform contracting work in Pennsylvania. Copies of our insurance certificates and license information are available upon request.

Cancellation and Termination

Your Right to Cancel

You may have the right to cancel a contract within a certain period as required by Pennsylvania law. Specific cancellation terms will be outlined in your project contract.

Our Right to Terminate

We reserve the right to refuse service or terminate a project if:

  • You breach any terms of the contract

  • You fail to make payments as agreed

  • Site conditions make it unsafe or impossible to continue work

  • You engage in abusive or threatening behavior toward our staff

Effect of Termination

Upon termination, you will be responsible for payment for all work completed and materials purchased up to the date of termination, plus any costs associated with demobilization.

Indemnification

You agree to indemnify, defend, and hold harmless Totality Contracting and its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms

  • Your violation of any law or regulation

  • Your violation of any rights of a third party

  • Any negligence or willful misconduct on your part

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, material shortages, or public health emergencies. In such cases, performance will be suspended, and timelines may be extended accordingly.

Dispute Resolution

Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Pike County, Pennsylvania, and you consent to the jurisdiction of such courts.

Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us to seek an informal resolution of any disputes.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our website or services after changes are posted constitutes your acceptance of the modified Terms.

For ongoing projects, the Terms in effect at the time the contract was signed will govern that specific project.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions.

Entire Agreement

These Terms, together with any project-specific contract and our Privacy Policy, constitute the entire agreement between you and Totality Contracting regarding the use of our website and services, and supersede all prior agreements and understandings.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Totality Contracting.
